Buzzi acquires Cimento Nacional

This is the step that made Cimento Nacional a wholly owned Buzzi business, completing a story that started with a 50/50 joint venture and a bolt-on acquisition. Buzzi entered Brazil in November 2018 by taking a 50% stake in the holding company then called BCPAR (later NCPAR), alongside Grupo Ricardo Brennand; in April 2021 that jointly owned vehicle, Companhia Nacional de Cimento, bought CRH group's Brazilian cement business (see buzzi-acquires-cnc-2021), while Buzzi's own stake in the venture stayed at 50%. On 17 May 2024 Buzzi announced that Grupo Ricardo Brennand had exercised a put option under their existing agreements for its remaining 50% of NCPAR, with the investment estimated at EUR290-310 million pending Brazilian real exchange rates and clearance from Brazil's antitrust authority CADE. The purchase completed on 3 October 2024 for a price Buzzi's own release puts at "approximately EUR 300.0 million," funded from available liquidity; Buzzi's release states plainly that it "now holds 100% control of NCPAR." That closing is also the point at which Cimento Nacional moved in Buzzi's accounts from joint-venture treatment to full consolidation as a subsidiary, which is why the brand is recorded elsewhere in this dataset as wholly owned by Buzzi rather than as a 50% joint venture.

Buzzi acquires Cimento Nacional

The buyer of record was Companhia Nacional de Cimento (CNC), a wholly owned subsidiary of the Brazilian holding company BCPAR, in which Buzzi Unicem has held 50% since November 2018 alongside Grupo Ricardo Brennand; it is not a separate company in this dataset, so Buzzi Unicem is recorded as buyer here. CNC agreed to buy all of CRH group's Brazilian operations - three full-cycle cement plants and two grinding centres in the southeast, mainly in Minas Gerais and Rio de Janeiro - at "a price of US$ 218 million, subject to adjustments based on the net financial situation at the closing date," per Buzzi's own account; that phrasing does not characterise the figure as an enterprise value or say assumed debt is included, so it is recorded here as the agreed purchase price. Buzzi's history page dates the agreement only to October 2020, without a day, so only the year is recorded for the announcement date. The purchase closed on 16 April 2021 after clearance from Brazil's antitrust authority CADE, roughly doubling Cimento Nacional's production capacity and giving it its first southeastern Brazil footprint; Buzzi Unicem financed CNC for up to US$242 million to fund the deal.

Buzzi acquires Dyckerhoff

Buzzi Unicem's ownership of Dyckerhoff was built up over twelve years, not bought in one transaction, so this record covers only the final step that made it wholly owned. Buzzi Unicem first partnered with the Dyckerhoff family in 2001, buying 34% of the ordinary share capital, then raised its stake through further purchases across 2002-2005 to about 91% of ordinary shares, and again in November 2012 to 96.6% of total share capital (98.1% of ordinary stock and 95.2% of preferred stock) for roughly EUR71.7 million. Once past the 95% threshold, German law let Buzzi Unicem squeeze out the remaining minority shareholders: Dyckerhoff AG's shareholders approved the squeeze-out on 12 July 2013 at cash compensation of EUR47.16 per ordinary or preferred share (about EUR65.3 million in total), and the transfer was registered with the Wiesbaden commercial register on 27 August 2013, at which point Buzzi Unicem held 100% of Dyckerhoff's share capital and the shares were delisted. No transaction records a single price for the whole company; the amounts above cover only the discrete purchases disclosed for 2012-2013.

Buzzi acquires Alamo Cement

Buzzi's hold on Alamo Cement in San Antonio, Texas was also built in stages rather than bought outright, so this record covers only the final step. The group entered Alamo Cement as a joint venture in 1979 - its first move outside Italy - and a new dry-process plant it built came on stream in 1981. In 1993 Buzzi increased its equity stake to a position of control, and, per the company's own history, at the end of 1999 it raised its ownership from 66.7% to 100%, making Alamo Cement wholly owned. Buzzi's history page gives only the year for that final step, with no specific date, seller counterparty or price, so those fields are left unrecorded rather than estimated.
