CRH acquires Adbri

CRH completed a Scheme of Arrangement to acquire the 57% of Adbri Limited’s ordinary shares it did not already own, alongside the Barro Group, which retained its own stake. This is a majority-stake transaction, not a full takeover: CRH and Barro together control Adbri, an Australian cement, lime and concrete products group, but CRH itself holds only the 57% stake acquired under the Scheme. The Scheme was approved by Adbri’s independent shareholders on 12 June 2024, received Court approval on 14 June 2024, and completed on 1 July 2024. Neither party disclosed the transaction value.

CRH acquires PebbleTec

CRH’s Oldcastle APG business unit acquired Pebble Technology International, trading as PebbleTec, the category-defining brand in aggregate swimming pool finishes, from Graycliff Partners on 3 November 2021. PebbleTec, headquartered in Scottsdale, Arizona and operating from five U.S. locations, was folded into Oldcastle APG’s outdoor living portfolio alongside Belgard pavers, Techniseal sealers and MoistureShield decking. Graycliff Partners, the prior owner, is not itself a company in this dataset. Financial terms were not disclosed. Oldcastle APG is a CRH operating business rather than a separate legal entity in this dataset, so the buyer is recorded as CRH.

Buzzi acquires Cimento Nacional

The buyer of record was Companhia Nacional de Cimento (CNC), a wholly owned subsidiary of the Brazilian holding company BCPAR, in which Buzzi Unicem has held 50% since November 2018 alongside Grupo Ricardo Brennand; it is not a separate company in this dataset, so Buzzi Unicem is recorded as buyer here. CNC agreed to buy all of CRH group's Brazilian operations - three full-cycle cement plants and two grinding centres in the southeast, mainly in Minas Gerais and Rio de Janeiro - at "a price of US$ 218 million, subject to adjustments based on the net financial situation at the closing date," per Buzzi's own account; that phrasing does not characterise the figure as an enterprise value or say assumed debt is included, so it is recorded here as the agreed purchase price. Buzzi's history page dates the agreement only to October 2020, without a day, so only the year is recorded for the announcement date. The purchase closed on 16 April 2021 after clearance from Brazil's antitrust authority CADE, roughly doubling Cimento Nacional's production capacity and giving it its first southeastern Brazil footprint; Buzzi Unicem financed CNC for up to US$242 million to fund the deal.

CRH acquires MoistureShield

Oldcastle Architectural, Inc. (part of CRH’s Oldcastle APG business) agreed on 16 March 2017 to acquire Advanced Environmental Recycling Technologies, Inc. (AERT), a Nasdaq-listed maker of composite decking, in an all-cash merger at an enterprise value of $117 million as stated in AERT’s SEC information statement; the cash paid to holders was calculated by subtracting AERT’s net debt and transaction expenses from that figure, working out to $0.135936 per common share and $2,603.483278 per preferred share. A merger subsidiary of Oldcastle Architectural merged into AERT on 1 May 2017, making AERT a wholly owned subsidiary of Oldcastle Architectural, per AERT’s Form 8-K filed that day. This is the actual acquisition behind the brand: two years later, in May 2019, Oldcastle APG renamed the acquired composite-decking business from AERT to MoistureShield, which was a rebranding rather than a separate transaction and is not recorded as its own deal. Oldcastle APG is a CRH operating business rather than a separate legal entity in this dataset, so the buyer is recorded as CRH.
