Adani Group acquires Ambuja Cements and ACC (2022)

Adani Group completed the acquisition of Ambuja Cements and ACC on 16 September 2022 for $6.5 billion, buying from Holcim.^[1][2]

The Adani family, through a special purpose vehicle, bought Holcim out of its Indian cement business. Holcim had announced on 15 May 2022 that it would sell its 63.19 per cent stake in Ambuja Cements and its 54.53 per cent stake in ACC (of which 50.05 per cent was held indirectly through Ambuja) to Adani; the sale closed on 16 September 2022, after mandatory open offers to Ambuja's and ACC's public shareholders, at a stated value of USD 6.50 billion for the Holcim stake and open offer consideration combined. This was not a purchase of either company outright: it transferred control, not full ownership. After completion Adani held 63.15 per cent of Ambuja Cements directly, and reached 56.69 per cent of ACC through a combination of a small direct stake and Ambuja's pre-existing 50.05 per cent holding in ACC — the same Ambuja-in-ACC stake the dataset already records as at completion. Public shareholders continued to hold the remainder of both companies on the Indian stock exchanges. The transaction made Adani India's second-largest cement producer and put the Ambuja Cement and ACC brands under Adani ownership in place of the Swiss group that had controlled them since the 2000s (ACC) and 2006 (Ambuja, via Holcim's predecessor Holcim Ltd/Lafarge-Holcim lineage).
