James Hardie acquires AZEK Exteriors and 5 other brands (2025)

James Hardie completed the acquisition of AZEK Exteriors and 5 other brands on 1 July 2025 for $8.75 billion.^[1][2]

James Hardie, the fibre-cement siding maker, agreed to buy The AZEK Company, a maker of engineered wood-alternative decking, railing, trim and outdoor-living products, in a cash-and-stock deal announced 24 March 2025 (23 March in Chicago) and completed 1 July 2025. AZEK shareholders received USD 26.45 in cash plus 1.0340 James Hardie ordinary shares for each AZEK share; James Hardie's own announcement put the total transaction value at USD 8.75 billion, a figure that includes about USD 386 million of AZEK net debt as of 31 December 2024 and is therefore an enterprise value rather than a straight equity price. AZEK had no controlling parent, so no seller company id applies; the deal folded AZEK's TimberTech decking, AZEK Exteriors trim and moulding, Versatex trim, StruXure pergolas, UltraLox railing hardware and Intex railing brands into James Hardie, turning a fibre-cement specialist into a broader exterior building-products company spanning siding, decking, trim and railing.
