Mission Produce acquires Calavo (2026)
Mission Produce completed the acquisition of Calavo on 28 May 2026.[1]
Mission Produce acquired Calavo Growers, the listed California avocado company founded in 1924, under a merger agreement dated 14 January 2026 that completed on 28 May 2026. Each Calavo share was converted into 0.9790 of a Mission Produce share plus cash; in total Mission Produce issued about 17.5 million shares and paid about $265.9 million, funded from cash and new borrowing. Calavo became Calavo Growers, LLC, a wholly owned subsidiary, and its shares were removed from Nasdaq. It put the Mission and Calavo avocado labels under one owner, which began closing overlapping distribution facilities in September 2026.
The 8-K gives the consideration as shares and cash and states no aggregate value, so none is recorded. `announced` is left empty: the filing dates the merger agreement, not the announcement.
