GIPHY is owned by Shutterstock (the United States, NYSE: SSTK), which acquired the brand on 23 May 2023 from Meta.[1][2] Before Shutterstock, GIPHY was owned by Meta from 2020 to 2023.[3]
GIPHY is the largest library of animated GIFs and supplies the search built into most messaging apps. Meta bought it in 2020, was ordered by the British competition regulator to sell it, and did so in 2023 for a reported $53 million against a purchase price of around $315 million.
Meta sold Giphy to Shutterstock for a reported $53 million, about a sixth of what it had paid three years earlier, to comply with the divestiture ordered by the Competition and Markets Authority.
Meta acquired Giphy for a reported $315 million without notifying the British competition regulator in advance, which it was not required to do. The Competition and Markets Authority opened an inquiry after the fact and ultimately ordered the acquisition unwound.
The Competition and Markets Authority ordered Meta to sell Giphy, a transaction that had already completed, after finding the acquisition harmed competition in display advertising and in the supply of animated images. Meta appealed, lost on the substance, and sold Giphy to Shutterstock for a small fraction of what it had paid. Unwinding a completed acquisition is rare.
